What we handle
Liquidation for mainland and free zone companies.
Every authority has its own steps, forms and clearances. We know the order they come in and take care of each one for you.
-
Mainland company liquidation
For companies licensed by the Department of Economy and Tourism in Dubai (formerly DED) or the economic department of another emirate. Resolution, application, creditor notice and clearances, through to licence cancellation.
DET / DED -
Free zone deregistration
Each free zone authority has its own portal, forms and clearance list. We work through them in order, from the deregistration application to the final certificate.
DMCC and other UAE free zones -
Liquidator appointment and voluntary liquidation
Voluntary liquidation starts with a shareholders' resolution and the appointment of a liquidator. We arrange the appointment, prepare the resolution and file what the authority requires.

Liquidation report and final audit
Most authorities ask for final audited accounts and a liquidation report before they cancel the licence. Our audit team prepares them in-house, so there is no second firm to brief.

A company you no longer use still costs you.
Stopping trading does not close a company. Until it is formally liquidated and deregistered, its obligations carry on.
-
Renewal fees and fines keep building
An open licence still falls due for renewal. Late renewals, missed filings and expired registrations add fines on top, and they keep adding up the longer the company sits.
-
Bank accounts and visas stay open
Accounts, the establishment card and visas linked to the company stay active until they are cancelled properly, which can get in the way of new visas, a new company or travel.
-
Directors stay liable
Until the company is deregistered, its managers and shareholders can be held responsible for its obligations, filings and debts.
-
Tax registrations stay live
Corporate Tax and VAT registrations continue, and returns are still expected, until they are deregistered with the Federal Tax Authority.
The longer a dormant company is left, the more there is to clear. Starting now keeps the closure simpler.
How it works
From first call to deregistration certificate.
Five steps, in order. You have one advisor from the first call to the final certificate, and you always know which step you are on.

-
Free consultation
We look at your licence, the authority, and any open visas, debts or filings, then explain the route and the documents you need.
-
Resolution and liquidator appointment
The shareholders' resolution to liquidate is prepared, a liquidator is appointed, and the liquidation application is filed with the authority.
-
Notices and clearances
The creditor notice is published where required, and visas, labour records, tax registrations and other accounts are cancelled in the right order.
-
Final audit and liquidation report
Our audit team prepares the final audited accounts and the liquidation report the authority asks for.
-
Deregistration certificate
The authority cancels the licence and issues the deregistration or closure certificate, and the bank account is closed.
Step one is free. Tell us about the company and we will map out the rest.

Questions
Company liquidation in the UAE: common questions.
How long does company liquidation take in the UAE?
It depends on the authority, the creditor notice period, how quickly visas and other registrations can be cancelled, and the state of the company's records. We review your situation in the free consultation and give you a realistic timeline for your company before you commit.
What is the difference between mainland and free zone company liquidation?
Mainland companies are closed through the economic department of their emirate, such as the Department of Economy and Tourism (DET, formerly DED) in Dubai, and usually need a liquidator, a published creditor notice and clearances from several government departments. Free zone companies are deregistered with their own free zone authority, which sets its own steps, forms and clearance list. We handle both.
Is an audit required to liquidate a company?
In most cases, yes. Authorities usually ask for final audited financial statements and a liquidation report covering the period up to the liquidation date. The exact requirement depends on the authority. Our audit team does this in-house, so the audit and the liquidation run on one timetable.
Can I close a company that still has pending liabilities?
Debts, salaries, end-of-service benefits, rent and government dues normally have to be settled or formally agreed before a company can be deregistered, and creditors are given a notice period to come forward. If the company cannot pay its debts, voluntary liquidation may not be the right route. We review the open items with you first and explain the options.
What happens to visas and the company bank account?
Employee and partner visas, labour records and the establishment card have to be cancelled as part of the closure. The bank account is usually closed towards the end, once final balances are settled. We plan these steps in the right order so none of them holds up deregistration.
How does DMCC company liquidation work?
DMCC companies are closed through the DMCC Authority, which has its own application and clearance process. In general it involves a shareholders' resolution, appointing a liquidator, cancelling visas and employee records, settling liabilities, a final audit and liquidation report, and then deregistration. We guide you through each DMCC requirement in order.
Can you handle the liquidation if I am outside the UAE?
Often, yes. Much of the process can be handled for you through a power of attorney, with documents signed abroad notarised and attested for use in the UAE. Whether any step needs you in person depends on the authority and your situation, and we confirm that at the start.
